Kevin Prins,

The man who has stalked, harassed, and intimidated me, my family, and friends, for approximately 5 years now is writing me about K-1s and other federal tax matters related to Leonard Cohen.

Why don't you answer his question?  I didn't realize Steven Gianelli represented the IRS or these entities.  I am aware that he has relentlessly targeted me since speaking with Michelle Rice in May 2009.  I have discussed this with LAPD, LAPD TMU, LASD, FBI, and others.  He works in tandem with Cohen fan, Susanne [Walsh who frequently copies in Michelle] Rice, and he and Phil Spector's former assistant, Michelle Blaine, targeted my email accounts and blogs.

You prepared the fraudulent expense ledger.  It is contradicted by ALL corporate records, agreements, and the federal tax returns.  Why does the ledger indicate that I received income from LCI while the 2003, 2004, and 2005 K-1s indicate $0 income?  This is irreconcilable.

Why doesn't the fraudulent ledger address the income TH shifted to me that was not distributed or the income addressed on the corporate K-1 partnership documents transmitted to IRS for the years 2001, 2002, and 2003.

The fraudulent default judgment does not address federal tax matters and LA Superior Court has no jurisdiction over me, the entities inserted into the default, or federal tax matters.  Why they are hearing federal tax matters is for reasons I cannot understand.

Leonard Cohen refuses to provide me with IRS required form 1099.  The IRS does not require me to subpoena that document - nor do they require me to explain why I am requesting it.  Cohen, City Attorney, Kory, and others, lied to jurors that i am in receipt of this information.  The City Attorney went so far as to explain that I had this information in my possession.  That's not how a 1099 works.  The employer provides that information to the employee.  There are penalties for failing to provide one.

I am attempting to address very serious tax matters with IRS and FTB.  I owe no taxes, my taxes are paid, Cohen and others have lied to IRS about that fact (with no access to my tax returns), and I lost two businesses in 2004 and 2005.

While Gianelli continues to criminally harass me, I am in need of this information.  IRS, FTB and others are well aware of that fact.  Your ledger is fraudulent and that was used to support the default and obtain federal and state tax refunds.  Those refunds have now been challenged as fraud.  Leonard Cohen's lawsuit was retaliatory.  I went to the IRS on April 15, 2005 and spoke with the State of Kentucky before that.  It's also his defense to the allegations that he committed criminal tax fraud.

I didn't handle corporate, tax, financial, accounting, or investment matters and was very clear in emails to Cohen about that fact.

Even though he has taken the position that he is the alter ego of these entities; engaged in self dealing; and fraudulent tax returns and information were evidently transmitted to IRS, FTB, etc. that does not resolve the issues I am legitimately addressing.  IRS, FTB, State of Kentucky continue to advise me to contact Cohen and the corporations for this information.

Ms. Lynch,

You write (below):

“I am in receipt of an IRS transcript showing LCI advised IRS that I am a partner in LCI and had zero income for 2004 and 2005.”

I fail to see what else a form 1099 would do for you, other than confirming this information that you say you have now obtained directly from the IRS. Moreover, if you had no income for 2004 and 2005 from this entity, how would that impact your tax picture or prevent you from (belatedly) filing your 2004 and 2005 returns?

PS: Ms. Lynch, I am retired. I no longer practice law. As I believe you well know, I relocated to Crete, Greece in 2013.

Jeffrey,

I phoned IRS yesterday.  The issues I have recently raised with you have not been resolved.  Cohen has advised LA Superior Court that I have no ownership interest in these entities.  IRS continues to believe I do.  I've reviewed the K-1s with IRS and FTB.  They exist in their databases.  I am in receipt of an IRS transcript showing LCI advised IRS that I am a partner in LCI and had zero income for 2004 and 2005.  That information completely undermines the fraudulent expense ledger.

These issues were never litigated Jeffrey.  Nothing was.  I was not served Leonard Cohen's lawsuit and neither Cohen or his lawyer saw me in the summer of 2005.  Others did and I have provided you with their declarations since many people are now lying to Judge Hess.

The federal tax matters have not been litigated, Jeffrey.  And, I would like to point out that IRS does not require me to sue someone in order to receive IRS required form 1099.  Cohen has not provided me that information for the year 2004.  The expense ledger is evidence of fraud, disregards corporate records, tax returns, stock shares, etc.  Has Cohen taken the position that fraudulent tax returns were transmitted to IRS?  Please refer to my emails where I confirm to Cohen that I do NOT handle IRS, accounting, or corporate matters.  Cohen's lawyers, business manager, and accountants did.

Stephen Gianelli continues to write and harass me.  He is now harassing me over Traditional Holdings, LLC.  Is the corporation located in Kentucky?  The address is Richard Westin's home address.  I do not see that Gianelli has been substituted for Westin, formally.  There is no reason for a Bay Area lawyer (who has targeted me, my family, and others since speaking to Michelle Rice in May 2009) to harass me over Leonard Cohen's tax problems and corporate matters.  I have spoken with LAPD, LAPD TMU, FBI, and others about this ongoing situation.

Richard,

I am attempting to resolve certain federal tax matters related to Traditional Holdings, LLC, Blue Mist Touring Company, Inc., LC Investments, LLC, and Old Ideas, LLC.

I gave you limited POA with respect to Traditional Holdings, LLC.  While you, Cohen, and Greenberg were wrapped in attorney/client privilege, you should be permitted to speak to me about TH.  You wrote me that you only represented Leonard Cohen and I could not agree with you more.  I was also very clear with Cohen, in emails copied to you and others, that I did not handle IRS, tax, accounting, or corporate matters.

You prepared the TH federal tax returns.  The IRS and State of Kentucky are in possession of K-1 partnership documents showing income for me in the years 2001, 2002, and 2003 and yet Kevin Prins failed to address this on the fraudulent expense ledger.  I will point out that Kory wrote my lawyers (with Prins and Ira Reiner copied in) addressing issues such as phantom income that was shifted to me but not distributed.  The ownership interests in these entities was also addressed.

The IRS advised me that Cohen transmitted K-1s from LCI to them for the years 2004 and 2005 showing zero income.  You transmitted an LCI K-1 to the State of Kentucky in 2003 showing I received zero income from LCI.  However, Kevin Prins must have willfully disregarded the LCI K-1s because he indicates that I received income in the form of over-payments for my personal management commissions.  My personal management commissions have nothing whatsoever to do with my ownership interest in numerous corporate entities or IP.  Machat & Machat, who represented Cohen for 20 years, had the same compensation agreement.  As Steven Machat wrote:  Cohen blames his representatives for ripping him off in order to breach contracts.  Cohen, according to Machat, stole his share of intellectual property and refused to pay Machat & Machat commissions and other monies due them when Marty Machat died.    Please see the transcript of Steven and my conversation on these matters.  Machat wrote and confirmed all information contained therein.

Cohen has testified that my ownership interest in an entity (possibly TH) was a mistake that you rectified.  IRS has no evidence supporting that testimony.  What was the mistake?  Your email of November 18, 2004 was sent nearly one month after Cohen and I parted ways.  There was no trust and no agreement with respect to a trust.  Furthermore, Cohen borrowed or caused to be expended approximately $6.7 million in assets belonging to TH and now owes interest of approximately $4 million.  You prepared the Annuity Agreement that Cohen and I signed.  The agreement was notarized.  The agreement is clear:  it bypasses Cohen's estate.  Cohen and I wrote you and asked questions about your original proposals (if they were in fact real) and he was clear:  he did not want his children involved in these entities and he did not want them beneficiaries.  You addressed potential issues related to self-dealing with Cohen.

I am in possession of your emails re. Old Ideas, LLC confirming Cohen and my understanding that I would own 15% of Old Ideas, LLC which is where we planned to assign the intellectual property and contracts related to the Dear Heather studio album.  You wrote and advised me that this was your understanding when you formed Old Ideas and confirmed that it was a partnership.  What is the status of that entity?

There are many outstanding federal tax and corporate matters.  LA Superior Court does not have jurisdiction over BMT, TH, or Old Ideas.  These corporate entities were simply inserted into the default without being named as parties to the lawsuit.  I wasn't served Cohen's lawsuit and the lies before LA Superior Court are mounting.

I would appreciate a response.  Cohen confirmed in the complaint that BMT was not unwound.  The assignments, as Cohen understood, were non-revocable.  We agreed to permit LCI to collect the royalties because of the SOCAN internal issues.  At that time, the deal was being done with CAK and they wanted a bankruptcy proof entity.  Cohen's declaration in that matter proves he knew about these deals, understood the royalty income, and he instructed his representatives that he wanted to pursue the Sony deal and cancel the CAK deal.  His lawyers have now called the declaration Cohen provided to the Court in the CAK deal "hearsay."  They are sadly mistaken.

Kelley Lynch

P.S.  These are excerpts from Machat's book that I agree with or will address.  I didn't buy my house with Cohen's cash.  I worked for Adam Cohen as his personal manager and negotiated a record and publishing deal.  I also had a retirement account that I closed.  I paid my taxes.  Cohen simply lies about these matters.

Gods, Gangsters & Honour by Steven Machat
Excerpts:

Leonard was desperate to get rid of this two managers, Judy Berger and Mary Martin, who he believed had stolen the rights to his songs and records early on in his career.  Even back then, Cohen was convinced that women were ripping him off.  He signed an agreement, and when he wanted to get rid of the contract, he accused everyone of ripping him off.  You could say it became repeat behaviour.  My father duly got rid of Berger and Martin, set up a new company called Stranger Music for Cohen and agreed to manage Leonard for 15% as well as 15% of Stranger.  The idea of the company was twofold:  one, to maintain ownership of the copyrights duly created; and two, to minimise Leonard’s exposure to American tax, just like any other rich individual trying to minimise their tax liabilities.

I’ve no problem with people trying to avoid tax, but as the years have passed, I couldn’t help but smile at the apparent contradiction between Leonard’s public persona and his private business arrangements.  This was a supposedly devout Buddhist with no interest in material possessions, who was all the same happy to put his trust in business managers and companies he created with his knowledge and consent whose sole aim was to minimise tax liability.

Leonard then sold Stranger Music for a small fortune and I’ve seen nothing from Cohen.

Cohen controlled his copyright, not my father.  The irony was that Cohen had total control over my father …  Do you know what happened to the $400,000 worth of bearer bonds in my father’s office?  Bearer bonds are just unregistered bonds or paper money that are used to conceal ownership and, with it, tax liabilities.  Cristini told me (who knows if this is true?) that he had found the bonds in my father’s office hours after he had died but the next day they disappeared.

Cohen denied any knowledge of these bonds.  I was unsure if they existed or were part of my father’s schemes cooked up to conceal Leonard’s money.

Cohen said:  “Steven, you remember the 1988 tour?  Flemming extorted $100,000 from me.  He wanted 20% managerial commission, in addition to his promoter’s fees.  He thought he was doing extra work for me and wanted me to pay him.”

Far from being the poet of the spirits, Leonard was a hustler using Buddhism as a facade.

The next time I would see Leonard … We’d just seen The Hand That Rocks The Cradle where Rebecca De Mornay plays the psychopathic nanny who stalks this family.  Who should walk along but Cohen, who was holding hands with DeMornay, his girlfriend at the time.  Cohen was extremely uncomfortable because he knew he had stolen from me and it was clear he couldn’t get away quick enough.  Neither could my son, because he took one look at DeMornay and ran.  He was terrified because he thought she was the nanny in the film!

It was clear that Leonard was also wary of me because, I guess, he thought I might be planning to sue him.

Lynch had been sending out long and bizarre emails to his friends, journalists, and the authorities denouncing Leonard for a million and one sins, which would have worried me if I was their target.

The whole scheme was so ridiculous [Leonard Cohen’s attempts to limit his liabilities on the deals] from the start.  All Leonard had to do to avoid U.S. taxes was tear up his green card, and stop living in and using the U.S. as his base.

It’s no secret that Leonard has also made a killing on the art market by selling his paintings, plus his touring of the last two years … If that’s true, it doesn’t really tally with the clear implication from Cohen that he is a man who has been robbed of everything.

Leonard told me before I left that he had actually offered Kelley a settlement …

It’s clear that Cohen and his lawyers want to heap the blame on Kelley’s shoulders for more than just revenge.  Because Cohen’s pension assets were cashed in … ahead of schedule they are liable to tax so they need to establish that this situation is her fault.  The penalties could actually be greater than the tax itself.

Leonard has cast himself into a hell of his own making.

Leonard Cohen's Tax Fraud: Corruption & Perjury Is The Name Of The Game In LA Confidential

IRS,

I am reviewing the perjury and fraudulent misrepresentations in the declarations.  I am presently finishing up my summary of Robert Kory's perjured statements.  I would like to remind you that he did not know me or Cohen in the 20 years I worked with Cohen.  Clearly, he wanted to become Cohen's personal manager.

Cohen has been quoted (he gave MacLean's an interview coordinated with his retaliatory lawsuit) as stating that he would have to pay taxes on the "lost" money.  How?  First of all, nothing was lost and he personally borrowed or expended $6.7 million and owes over $4 million in interest.  Beyond that, the income from the Sony sale wasn't reported on the 2001 tax returns his tax lawyer prepared.  Why wasn't the income reported and taxes paid immediately?

As for advances against my ownership interest in intellectual property, etc. why would Cohen have to pay taxes when those amounts were deducted from the corporate tax returns?

I would like a formal IRS opinion.

Leonard Cohen is the sole individual who had unfettered control over these entities.  His corporate and tax lawyers created and formed them for his benefit.  I was merely compensated for my services and ownership interest.

Cohen refuses to permit me to inspect corporate records.  Nothing was rectified with respect to corporate federal tax returns.  I am listed as a partner on numerous entities via documents Cohen's lawyers and accountants prepared.  I handled nothing to do with corporations, taxes, accounting, finance, and had no control over investments.  I also did not want to use Neal Greenberg.  Cohen did.  He met with him personally and hired him.  I did not know Neal Greenberg and was not his friend.  I had met him once or twice years earlier.

Many people belong in prison over this situation.  That includes the psychopaths in LA Confidential.  Corruption is the name of their game.

All the best,
Kelley

Richard Westin,

I have spoken with IRS about this entity.  Nothing appears to have been "rectified."  This entity does not appear to have a corporate address and the address that appears on the State of Kentucky's website is your home address.  You prepared the formation and governing documents, handled the issuance of stock, prepared and advised me to sign the Annuity Agreement and corporate records, prepared the Indemnity Agreement Cohen requested on my behalf, and sent an email in November 2004 advising Cohen that the plan was to put Traditional Holdings into a trust.  What assets were being used?  The assets this entity sold were owned by Blue Mist Touring and the complaint verifies that the corporation was not unwound.  I spoke with the State of Kentucky and they were not clear about the presence of this company in Kentucky.  It does not have minimal ties to California so I cannot imagine how LA Superior Court obtained jurisdiction particularly given the fact that these entities were not named as parties to the lawsuit that was nothing other than retaliation.

I have not received an explanation for why my promissory note and the annuity obligation were extinguished from the 2002 and 2003 federal tax returns.  This was brought to my attention by my lawyers and accountant.

Where is the evidence of Cohen's contribution to this entity?  It has no assets, he received the benefit of at least $6.7 million in corporate assets, and the tax returns do not report the income from the alleged sale in 2001.

The profits and losses in this entity were to be distributed in accordance with ownership interests . Why do you think Kevin Prins failed to address that on the accounting?  Cohen received well over the $4.7 million annuity obligation, refuses to address his outstanding loans/expenses, and has come up with a deranged narrative.  .

Did you also conjure up a partnership agreement with respect to me and LC Investments, LLC that would explain the K-1s this entity has transmitted to IRS and State of Kentucky for the years 2003, 2004, and 2005?  I am in possession of an IRS transcript showing $0 income and yet Kevin Prins appears to believe I have overpayments with respect to my fees for services rendered as personal manager.  My personal management fees have nothing whatsoever to do with my ownership interest in these entities and/or intellectual property.  In fact, Steven and Marty Machat had the identical compensation arrangement.

I am demanding access to all corporate records.  That would include, but is not limited to, financial documents, loan documents, and anything you did to rectify a mistake in ownership without my knowledge, awareness, or authorization.

Have you heard the terms alter ego and self-dealing?  Well, they have Leonard Cohen's photograph next to them in certain dictionaries.

Richard Westin,

I am attempting to address certain corporate and tax matters.  Leonard Cohen testified that you rectified a mistake made in connection with Traditional Holdings, LLC.  As you know, because you formed this company and prepared all paperwork, I have an ownership interest in Traditional Holdings.  I would therefore like to know what the mistake was.  There was and remains no trust or agreement with respect to a trust.  Your November 18, 2004 email to Cohen appears to be quite sinister and was written nearly one month after Cohen and I parted ways.  I have only seen an alleged excerpt of that letter.  LA Superior Court does not require evidence or evidence authentication.

Leonard Cohen's loans and expenditures with respect to TH approximate $6.7 million.  Did you prepare loan documents indicating that Cohen, pursuant to the Annuity Agreement, had to repay his loans within 3 years at 6% interest.

You prepared the corporate tax returns for TH and LCI.  The assets you attempted to transfer to LCI and TH are owned by Blue Mist Touring Company, Inc.  I would like to see any and all documentation showing how you removed the assets from Blue Mist and what numbers were used re a valuation.

I am also in possession of an email (from you) advising me that you formed Old Ideas, LLC as a partnership and believed I was to have a 15% ownership interest in the intellectual property and contracts that were to be assigned to that company.  That is correct.  May I have the formation and other documents?

While there are many, many outstanding matters, one of the most pressing relates to the K-1s you prepared and transmitted to State of Kentucky indicating that I have a 99.5% interest in LC Investments, LLC.  I do not believe that is a mistake and Cohen has now transmitted LCI K-1s to IRS for the years 2004 and 2005 showing $0 income.  I was not a partner in this entity although I am aware you wrote Cohen advising him (in response to his question) that you felt I should have an ownership interest in LCI.  As you know, when we were pursuing the CAK bond deal, SOCAN refused to pay royalties to an entity not 100% owned by Cohen so we agreed that LCI could collect the income.  It does not, however, own the assets.  I can assure you that I never agreed that the assignments to Blue Mist were invalid.

I would appreciate your response to the above.  I personally find the fabricated narrative rather deranged and the fraudulent ledger is a meaningless list of numbers that willfully disregards my ownership interest in numerous entities.

Kelley Lynch

PD:  Now, you were aware that 99.5% of that Company was owned by Ms. Lynch, correct?
Cohen:  That was a mistake and it was rectified by the lawyer who drew up the papers.  And in arbitration a substantial sum of money was awarded me for his mistake.
PD:  And that lawyer’s name?
Cohen:  Richard Westin.
PD:  And you had arbitration with him?
Cohen:  That’s correct.  RT 287

PD:  And, in fact, you had actually taken money from that account to buy homes, correct?
Cohen:  Yes, I had.
PD:  You took money from that account to buy a house for your son, correct?
Cohen:  That’s correct.
PD:  To buy a house for your girlfriend, correct?
Cohen:  Yes.
PD:  Okay.  So you – it’s fair to say that you did take money from that account?
Cohen:  That’s correct, yes.
PD:  You were aware enough about that account to know that you could take money from that account?
Cohen:  That’s correct.  RT 288

PD:  And in those emails, there’s multiple times Ms. Lynch requested forensic accounting; isn’t that correct?
Kory:  Most of the time I saw, when I read them, you have to read those emails carefully, I didn’t see a request for forensic accounting.  What I saw is a request that we change the forensic accounting.  That we withdraw a K-1.  These are fairly sophisticated concepts.  RT 425-426

Kory:  As I read them, as I read them, I was reading a formidable, intelligent person with sophisticated tax knowledge who had the forensic accounting and the K-1s and all the tax information in her possession, and she was requesting that we somehow modify what we had reported.  RT 426

Jeffrey,

I have a right as a shareholder/partner to examine corporate books and records.  That would include, but is not limited to, all formation documents, modifications, stock certificates, stock ledgers, agreements, minutes, tax returns, financial statements, profit and loss statements, accountings, asset valuations, outstanding documents or evidence related to loans, dissolution documents, and so forth.

I have asked who handles these matters.  The default judgment is irrelevant particularly as it was granted due to lack of service and fraud.

I would like to see the corporate records for all the above referenced companies including any and all agreements related to an alleged trust or indicating that I held my share of these entities in trust for Leonard Cohen.  I didn't hold my share in trust for Leonard Cohen.  I would also like to know what issues Richard Westin rectified. Cohen testified that a mistake was made with respect to my ownership interest in Traditional Holdings.  What is the mistake?

I would also like to see all documents indicating that the companies were properly unwound and final tax returns were prepared and submitted.

I would also like to see any documents indicating that I have an ownership interest in LC Investments, LLC that would warrant that LLC transmitting K-1s to IRS and State of Kentucky.
