I have spoken with IRS about this entity. Nothing appears to have been "rectified." This entity does not appear to have a corporate address and the address that appears on the State of Kentucky's website is your home address. You prepared the formation and governing documents, handled the issuance of stock, prepared and advised me to sign the Annuity Agreement and corporate records, prepared the Indemnity Agreement Cohen requested on my behalf, and sent an email in November 2004 advising Cohen that the plan was to put Traditional Holdings into a trust. What assets were being used? The assets this entity sold were owned by Blue Mist Touring and the complaint verifies that the corporation was not unwound. I spoke with the State of Kentucky and they were not clear about the presence of this company in Kentucky. It does not have minimal ties to California so I cannot imagine how LA Superior Court obtained jurisdiction particularly given the fact that these entities were not named as parties to the lawsuit that was nothing other than retaliation.
I have not received an explanation for why my promissory note and the annuity obligation were extinguished from the 2002 and 2003 federal tax returns. This was brought to my attention by my lawyers and accountant.
Where is the evidence of Cohen's contribution to this entity? It has no assets, he received the benefit of at least $6.7 million in corporate assets, and the tax returns do not report the income from the alleged sale in 2001.
The profits and losses in this entity were to be distributed in accordance with ownership interests . Why do you think Kevin Prins failed to address that on the accounting? Cohen received well over the $4.7 million annuity obligation, refuses to address his outstanding loans/expenses, and has come up with a deranged narrative. .
Did you also conjure up a partnership agreement with respect to me and LC Investments, LLC that would explain the K-1s this entity has transmitted to IRS and State of Kentucky for the years 2003, 2004, and 2005? I am in possession of an IRS transcript showing $0 income and yet Kevin Prins appears to believe I have overpayments with respect to my fees for services rendered as personal manager. My personal management fees have nothing whatsoever to do with my ownership interest in these entities and/or intellectual property. In fact, Steven and Marty Machat had the identical compensation arrangement.
I am demanding access to all corporate records. That would include, but is not limited to, financial documents, loan documents, and anything you did to rectify a mistake in ownership without my knowledge, awareness, or authorization.
Have you heard the terms alter ego and self-dealing? Well, they have Leonard Cohen's photograph next to them in certain dictionaries.
